This agreement is entered into by and between Musica and the Musica member (hereinafter referred to as the "Member"). This agreement describes the rights and obligations between the Member and Musica regarding the use of this service and related aspects. A "Member" refers to a natural person who has completed all procedures to become a member and uses the membership services provided by Musica under the relevant rules of use. This agreement constitutes a prerequisite for the Member's use of the services provided by Musica.
Musica has prompted the Member to carefully read the relevant exemption or limitation of liability clauses in the agreement by bolding the font or other reasonable means. Both parties confirm that the aforementioned clauses do not fall under the "clauses that exempt one's own liability, increase the other party's liability, or exclude the other party's main rights" as stipulated in relevant laws. Both the user and Musica recognize their legality and validity.
Unless the Member accepts the terms of this agreement, the Member has no right to use this service. The Member's choice to use this service will be deemed as acceptance of the terms of this agreement.
Musica reserves the right to modify the service terms at any time. Once the service terms are changed, Musica will make an announcement on the relevant page; if the Member disagrees with any modification of this agreement, they can cancel the automatic renewal function; if the Member continues to use the service, it will be deemed that the Member has accepted all modifications of this agreement.
When using this service, the Member must have the corresponding capacity for rights and civil conduct, and be able to independently bear legal liability. If the Member is under the age of 18, they must use this service under the supervision and participation of their parents or other guardians. Their use of this service is deemed to have obtained the approval of their parents or other guardians.
This service is launched to meet the Member's demand for automatic renewal. Under the premise that the Member has activated this service, it aims to prevent losses caused by the Member's failure to renew in time due to negligence or other reasons.
The Member authorizes Musica to, when the membership period is about to expire, entrust the payment channel to deduct the fee for the next billing cycle from the Member's own recharge account, third-party payment account bound to the Member's account, bank card, or communication account (hereinafter collectively referred to as the "Account"). Billing cycles include but are not limited to monthly, quarterly, annual, etc. The Member can choose according to the billing cycles displayed on Musica's platform.
The prerequisite for this service is that the Member has bound their Musica member account with the aforementioned account, and successful deduction can be made from the aforementioned account.
Automatic renewal specifically refers to, based on the premise above, the deduction method by which Musica collects the fee for the next billing cycle from the Member through the aforementioned account. The Member needs to ensure that Musica can successfully deduct the fee from the aforementioned account. Musica shall not be liable for renewal failures due to insufficient balance in the aforementioned account, and Musica has the right to interrupt/terminate the corresponding membership rights and services.
By choosing to activate automatic renewal, the Member is deemed to have agreed to authorize Musica to issue deduction instructions to the Account, and agrees that the Account can, based on the deduction instructions issued by Musica, deduct the fee for the next billing cycle from the Account without verifying the Member's account password, payment password, SMS verification code, and other information.
Unless the Member actively and explicitly cancels the automatic renewal, the Member's authorization for automatic deduction to Musica is irrevocable. Except as otherwise provided by laws and regulations, Musica will not refund the fees paid by the Member in any way.
When enjoying this service, the Member shall be bound by all the terms of the "Musica Privacy Policy" and the "Musica VIP Member Service Agreement", as well as various related sub-agreements, page instructions, or specification processes.
The services provided by Musica to the Member are limited to the Member's use on the Musica platform. Any act of separating the services provided by Musica from the Musica platform by illegal means such as malicious cracking does not belong to the services agreed in this agreement.
Member subscription fees are charged monthly or annually based on different plans. We also provide one-time paid services outside the existing subscription plans if needed.
Subscription payments will be charged to the iTunes account upon purchase confirmation. Subscriptions will automatically renew unless auto-renewal is turned off at least 24 hours before the end of the current period. The account will be charged for renewal within 24 hours prior to the end of the current period.
Musica offers a three-day free trial, and will automatically subscribe to the selected product after the three-day free trial ends. Users can manage their subscriptions and turn off auto-renewal at any time after purchase in their iTunes account settings.
Musica is responsible for providing the Member with query methods regarding the specific details of automatic renewal charges but is not responsible for printing related invoices and/or forwarding them to the Member.
Musica will send automatic renewal reminders to the Member via mobile phone SMS or other methods before the membership period is about to expire.
When deducting the fee for the next billing cycle through the Member's aforementioned account, the deducted amount will be recorded in the Member's payment record on the day of deduction, and the membership period will be extended accordingly. Once the deduction is successful, Musica has the right to collect the fee immediately and does not provide refund services.
If errors occur during the deduction process, Musica and the Member shall closely cooperate to identify the cause and each shall bear the losses caused by their own fault.
Musica may change or modify the relevant service content, rules, and terms of this agreement based on its business development or technical upgrades, etc. Musica will notify users of the relevant changes or modifications by posting on the relevant pages of Musica or other appropriate places.
Whether to cancel this service is chosen by the Member independently. If the Member chooses not to cancel, it is deemed that the Member agrees that Musica has the right to continuously make irregular deduction attempts according to certain rules.
If the service price of Musica is adjusted at the time of/before automatic renewal, the current effective price displayed on the Musica platform shall prevail.
Musica does not charge any additional service fees for the Member to activate this service, but Musica has the right to decide whether to charge for this service itself or adjust the automatic renewal cycle and fees based on business needs or market changes, etc.
If the Member renews during the membership period, the validity period will be extended based on the original service validity period.
The Member understands and agrees that the authorization for deduction granted to Musica will be regarded as the Member's own recharge behavior.
This agreement takes effect after the Member chooses to accept or use this service and terminates when the Member terminates this service/cancels membership, unless Musica announces otherwise.
The Member has the right to terminate this service at any time in the member account settings. After terminating this service, Musica will stop providing this service to the Member.
The instructions for automatic renewal deduction that the Member has authorized Musica before choosing to terminate this service are still valid. Musica will not refund the fees already deducted based on those instructions.
Musica has the right to suspend or terminate this service due to its own business adjustments, price changes, or other reasons. In the event of such a situation, Musica will notify the Member by way of announcement.
If one party breaches the contract, the non-breaching party has the right to obtain compensation or damages through the breach resolution method agreed upon by both parties.
Musica and the Member shall resolve disputes arising from the performance of this agreement through friendly consultation. If no resolution can be reached through consultation, either party has the right to submit the dispute to the Shanghai People's Court for litigation.
The interpretation, validity, and execution of this agreement shall be governed by the laws of the People's Republic of China.
